By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

DeepScan provides AI-powered penetration testing services that include:

  • Executive dashboards and compliance reporting
  • API integrations and developer tools
  • Customer support and consultation services
  • Training and educational resources

Account Registration and Responsibilities

Registration Requirements

To use our Services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information as necessary
  • Have the legal authority to enter into this agreement

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach

Acceptable Use Policy

Subscription and Payment Terms

Billing and Payments

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • You authorize us to charge your payment method on file
  • Price changes will be communicated 30 days in advance

Cancellation and Refunds

  • You may cancel your subscription at any time through your account dashboard
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial months or unused portions of service
  • Enterprise customers may have different cancellation terms

Data and Privacy

Our handling of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Your Data

Regarding data you provide or generate through our Services:

  • You retain ownership of your data and intellectual property

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms.

Service Availability and Modifications

Service Availability

  • We strive for 99.9% uptime but cannot guarantee uninterrupted service
  • Scheduled maintenance will be communicated in advance
  • Emergency maintenance may occur without prior notice

Service Modifications

  • We may modify, update, or discontinue features at any time
  • Material changes will be communicated with reasonable notice
  • Continued use after changes constitutes acceptance

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

IN NO EVENT SHALL DEEPSCAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.

Termination

Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through your account dashboard
  • Contacting our customer support team

Termination by DeepScan

We may terminate or suspend your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Use the Services in a manner that poses legal or security risks

Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account data after a reasonable period, subject to applicable law and our data retention policies.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Mandatory Arbitration

Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in San Francisco, California, or another location we mutually agree to.

Class Action Waiver

You agree that any arbitration will be conducted only on an individual basis and not as part of a class, collective, or representative action.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make material changes, we will:

  • Post the updated Terms on our website with a new effective date
  • Notify you via email or through our platform
  • Provide at least 30 days' notice for material changes

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
